SHARE PURCHASE AGREEMENT

1.1The Vendor agrees to sell and the Purchaser agrees to buy the Sale Shares free from all Encumbrances, together with all rights attaching to them at Completion, including the right to receive all dividends declared on or after the date of this agreement.

2.1The consideration for the Sale Shares is AUD 4,800,000 (Purchase Price), payable in cleared funds on Completion to the account nominated by the Vendor in writing not less than two Business Days before the Completion Date.

2.2The Purchase Price is inclusive of all stamp duty, which the Purchaser must pay within the period required by law.

3.1Completion will take place at 10:00 am on 15 September 2026 at the offices of Whitmore & Kael Lawyers, or at such other time and place as the parties agree in writing.

3.2At Completion the Vendor must deliver to the Purchaser executed share transfer forms in registrable form, the share certificates for the Sale Shares and the written resignation of each director nominated by the Vendor.

4.1The Vendor gives the Warranties set out in Schedule 2 as at the date of this agreement and again immediately before Completion.

4.2The Purchaser acknowledges that it has not relied on any representation, warranty or statement not expressly set out in this agreement.
